Mergers and Acquisitions in 1998
The following is a partial list of mergers and acquisitions
in the document management industry that occurred from January to November 1998.
Some acquisitions from early December also are included.
Agfa-Gevaert, a $4.5 billion supplier of imaging products and systems headquartered in Ridgefield Park, N.J., acquired Monotype Typography Inc., a typography company in Chicago.
AmeriComm Direct Marketing, Atlanta, the parent company of TRANSKRIT®, merged with DIMAC Marketing Corp., a $200 million direct mail company headquartered in St. Louis.
Block Graphics Inc., a manufacturer headquartered in Portland, Ore., acquired Cobra Press, a Paso Robles, Calif., commercial printer.
Boise Cascade Office Products Corp., Itasca, Ill., acquired Atlas Office Supplies and Equipment Co. Inc., a $30 million contract stationer in Indianapolis, and Midesha Enterprises Inc., a $5 million contract stationer in Southaven, Miss. Boise Cascade Office Products is a $2.6 billion distributor of office supplies, furniture, computer supplies and services, and promotional products.
Bowman Business Forms Inc., a distributorship in Bow, N.H., purchased Capitol Business Forms Inc., also a distributorship in Bow.
Champion Industries Inc., Huntington, W.Va., acquired Rose City Press, Charleston, W.Va. Champion also purchased the stock of Thompson's of Morgantown Inc., Morgantown, W.Va., and Thompson's of Barbour County Inc., Philippi, W.Va. Champion operates more than 15 divisions that produce forms and commercial printing and supply office products and supplies. It had 1997 revenues of $108 million.
Commercial Business Forms Inc., a distributorship in Cedar Knolls, N.J., acquired the customer list of Weltco Inc., a Morris Plains, N.J., distributor of bar coding and OCR equipment.
Consolidated Graphics Inc., Houston, acquired several commercial printers, including Pride Printers Inc., Boston; Paragraphics, San Francisco; Graphic Communications Inc., San Diego; Rush Press, San Diego; Arts & Crafts Press, San Diego; Printing Inc., Wichita, Kan.; Ironwood Lithographers Inc., Phoenix; Printing Corp. of America, Baltimore; Metropolitan Printing Service Inc., Bloomington, Ind.; McKay Press Inc., Midland, Mich.; and GraphTec Inc., which serves Washington and Baltimore. Consolidated Graphics has signed letters of intent to acquire several commercial printers, including Maxwell Graphic Arts, Philadelphia; Mount Vernon Printing Company, Landover, Md.; and Automated Graphic Systems, which serves Washington and Cleveland. Consolidated Graphics also acquired The Graphics Group, a privately held graphic arts service provider in Dallas. Upon completion of pending acquisitions, Consolidated Graphics will have 50 companies with annual revenues of more than $580 million.
Cooley Business Forms Inc., a distributorship in East Rochester, N.Y., merged with Unitek Inc., a forms and office furniture company located in Rochester, N.Y., to form Cooley Group Inc.
Deluxe Corp., St. Paul, Minn., sold its credit and debit card production unit to Fiserv Inc., a Brookfield, Wis.-based provider of integrated data processing information management systems. Deluxe also reached an agreement in principle to sell Current Inc.'s Social Expressions unit and PaperDirect Inc. to Taylor Corp., a holding company in North Mankato, Minn.
Dominion Solutions, a distributorship in Roanoke, Va., forged a partnership with FCP Investors, a private investment fund, to form Dominion Holdings Inc. Dominion Holdings merged with three distributorships: Available Business Group Inc., Chicago; Emerald Solutions in Print, Edison, N.J.; and PSI Group, New York. It also merged with APS Direct, a direct mail company. In addition, Dominion Solutions acquired Dominion Forms & Computer Supplies Inc., a distributorship in Richmond and Fredericksburg, Va.
Doubleday Bros. & Co., a $10 million manufacturer of election supplies and forms in Kalamazoo, Mich., was sold to Brelsh Holdings Company LLC, a holding company in Kalamazoo. Brelsh Holdings Company also acquired Vista Business Forms Inc., a manufacturer in Kalamazoo.
Ennis Business Forms Inc., a manufacturer in Ennis, Texas, purchased Forms Manufacturing Inc., a $7 million manufacturer based in Houston.
Evergreen Data Systems Inc., a distributorship in San Jose, Calif., was sold to a private San Francisco-based business group. The company continues to operate as Evergreen Data Systems.
The F.P. Horak Company's Digital Imaging Center, Bay City, Mich., acquired AJ Jones & Company, a business mailer in Saginaw, Mich.
Fiserv Forms & Graphics, Bellevue, Wash., purchased the Seattle laser printing, lettershop and custom packing operations of PSI Group Inc., a presort mailing company based in Omaha, Neb.
The Flesh Company, a manufacturer of custom continuous forms in St. Louis, merged with IMI Business Forms, a manufacturer of unit sets and laser cut sheets. The company operates as The Flesh Company.
Global DocuGraphix Inc., a document management and graphics services company in Chicago, acquired B-N-B Systems Inc., a Little Rock, Ark.-based distributorship of forms and commercial printing; TPE Business Services Inc., a Dallas-based print, image and electronic management company; Associated Business Products Inc., a print, image and electronic management company headquartered in Santa Rosa, Calif.; and Scanning Systems Inc., a subsidiary of Associated Business Products in Minneapolis.
Global Imaging Products, an Atlanta-based supplier of bar coded and thermal transfer products, sold its Norcross, Ga., label manufacturing facility to Diversified Tape & Graphics, Buffalo Grove, Ill.
Hart Information Services Inc., Austin, Texas, a wholly-owned subsidiary of Hart Graphics Inc., acquired Computer Link Corp., Tuscaloosa, Ala.
Hygrade Business Group, a distributorship in West Caldwell, N.J., purchased Merit Integrated Products, a distributorship in Waterbury, Conn., and New England Business Forms, a distributorship in Bethel, Conn.
Independent Business Group, a distributorship in Hayward, Calif., acquired Writeway Office Supply, a distributorship in Concord, Calif.
International Paper, Purchase, N.Y., combined its xpedx distribution business, based in Covington, Ky., with The Mead Corporation's Zellerbach distribution business, based in Miamisburg, Ohio. International Paper plans to purchase Union Camp Corp., a $4.4 billion paper company headquartered in Wayne, N.J.
Logmatix Inc., a bar code and label printer in Marietta, Ga., acquired the assets of Coast Graphics, a manufacturer in Norcross, Ga.
Maggio Data Forms, a manufacturer in Hauppauge, N.Y., purchased Ticket Craft Inc., a manufacturer of parking, sporting and theater tickets in Merrick, N.Y.
Mail-Well Inc., Englewood, Colo., acquired Poser®, a large manufacturer headquartered in Fairhope, Ala. Mail-Well acquired two Denver-based manufacturers to expand the Poser division: Denver Forms Company and EPX Formprint/Denver, a branch of EPX Group in Portland, Maine. In conjunction with the Denver Forms acquisition, Mail-Well acquired National Graphics Company, a Denver distributorship. In addition, Mail-Well purchased Girard, Kan.-based Perfection Forms, which was a division of Continuous Forms and Checks Inc., and Apico Corporation of Girard, forming the Apico-Perfection division of the Poser business communications group.
Mail-Well also acquired the Label Division of International Paper Co. in Bowling Green, Ky.; the $80 million label division of Lawson Mardon Packaging Inc.; Blue Line Envelope, a $6 million manufacturer based in suburban Montreal; Illinois Envelope, a $7 million manufacturer in Kalamazoo, Mich.; Gould Packaging Inc., a $14 million distributor of mailing and shipping supplies in Vancouver, Wash.; Graphics Illustrated, a commercial sheet-fed printer serving the Florida market, and its affiliate Digital X-Press; McLaren Morris and Todd Ltd., a $34 million commercial and label printer in Mississauga, Ontario; the commercial printing division of Baltimore-based John D. Lucas Printing Co., including NK Graphics, Keene, N.H.; Richtman Printing, a sheet-fed and web operation in Englewood, Colo.; Imperial Litho & Dryography Inc., a $26 million sheet-fed printer in Phoenix; Trafton Printing Inc., an $8.5 million sheet-fed printer in Amarillo, Texas; Century Index, a $9 million manufacturer of custom indexes and filing products in Anaheim, Calif.; Anderson Lithograph, a $135 million printer of annual reports, automobile brochures and promotional materials in Los Angeles; South Press Inc., a $12 million printer based in Dallas; Production Press Inc., Jacksonville, Ill.; Accu-color and Color-Art, both of St. Louis; Clarke Printing, San Antonio; French Bray, Baltimore; Industrial Printing, Toledo, Ohio, and its sister company IPC Graphics; United Lithograph, Boston; and Rono Graphic Communications Co., Portland, Ore.
MDC Communications Corp., Toronto, purchased Quebecor Printing Inc.'s check and credit card businesses, including Quebecor's Custom Cheques of Canada, BA Custom Cards and Custom Direct Inc., a U.S.-based check printing unit.
The Mead Corp., Dayton, Ohio, sold Mead Ink Products, Anniston, Ala., to Progressive Ink Co. LLC, a St. Louis-based subsidiary of the Alper Ink Group LLC. Mead also agreed to acquire the assets of Creative Point, a $40 million subsidiary of Louisiana Pacific Corp. in Fremont, Calif.
Moore U.S.A. Inc., Lake Forest, Ill., sold its European forms and labels business to Grenadier Holdings Ltd., Dublin, Ireland. Moore also sold its Albany, Ga., manufacturing facility to General Credit Forms Inc., a manufacturer of credit card transaction products in Earth City, Mo., and its Dallas-based Rediform® division to Dominion Blueline Inc., a manufacturer of stock forms and supplies headquartered in St. Jean-Sur-Riche, Quebec.
Nationwide Graphics, a consolidator of commercial printing and graphic arts companies in Houston, acquired Graphics West, Las Vegas; Lasertech, Miami; and Offset Atlanta, Atlanta.
Nazdar, a manufacturer and distributor of screenprinting inks, equipment and supplies in Shawnee, Kan., acquired NDS, a screenprinting and sign supplies distributorship headquartered in Indianapolis.
New England Business Service Inc., Groton, Mass., purchased Rapidforms Inc., a Thorofare, N.J.-based subsidiary of CSS Industries Inc. It also acquired McBee Systems Inc., Parsippany, N.J., and McBee Systems of Canada Inc., Toronto, both wholly-owned subsidiaries of ROMO Corp., Lakewood, Colo.
The Noteworthy Company, a manufacturer of poly and paper products in Amsterdam, N.Y., purchased Filmkote Inc., a Pittsburgh-based manufacturer of presentation folders, CD mailers and point-of-purchase items.
Office Depot Inc., Delray Beach, Fla., and Viking Office Products Inc. merged, making Viking a wholly-owned subsidiary headquartered in Torrance, Calif.
Oklahoma Business Forms Inc., a distributorship in Oklahoma City, purchased Executive Forms & Computer Supplies, a distributorship and printer in Fort Worth, Texas.
Phoenix Data Inc., a manufacturer in Montgomery, Pa., acquired the rights to all repeat business of Priority Business Forms, a Johnston, R.I., manufacturer of continuous forms, laser cut sheets and unit sets that closed in November 1997.
Precept Business Services Inc., Dallas, the holding company for Precept Business Products Inc., acquired MBF Corp., an $18.5 million distributorship based in Monroe, La.; InfoGraphix Inc., a $25 million distributorship in Boston; Creative Printing Solutions, a $16 million distributorship headquartered in Bangor, Maine; Southern Systems Business Forms & Supplies Inc., a $14 million distributorship in Florence, S.C.; GraphicSource, a distributorship in Houston; and Fineline Business Forms, a distributorship in Salt Lake City. It also acquired two transportation companies to complement its Precept Transportation Services Division: U.S. Transportation Systems Inc., Elmsford, N.Y., and Garden State Limousine Inc., a $14 million limousine company in New Jersey. Precept sold U.S. Trucking Inc. (USTI), a long-haul trucking operation in Elmsford, N.Y., to Logistics Management Company.
Presstek Inc., a provider of digital imaging technology based in Hudson, N.H., acquired Heath Custom Press Inc., a manufacturer of custom printing presses in Seattle.
PRINTSouth, a manufacturer based in Atlanta, acquired Foster, a $7.4 million manufacturer in Columbus, Ohio.
PSI Group Inc, New York, acquired the assets of Madison Business Systems Inc., a Fairfield, N.J., distributorship, in January 1998. PSI merged with Dominion Holdings Inc., Roanoke, Va., in November. (See related acquisition news under the listing for Dominion Solutions.)
The Reynolds & Reynolds Company, Dayton, Ohio, sold its Healthcare Systems Division to InfoCure Corp., an Atlanta-based provider of health care management products.
SFI, the distribution division of Workflow Management Inc., New York, acquired Caltar Inc., a $4 million distributorship in Santa Fe Springs, Calif. Earlier in 1998, Caltar had merged with Decade Business Forms, a distributorship in Los Alamitos, Calif. (See related acquisition news under the listing for U.S. Office Products Company Inc.)
The Segerdahl Corp., a direct mail company in Wheeling, Ill., acquired Electronic Prepress Service, Arlington Heights, Ill.
Sovereign Business Forms Inc., Houston, acquired Falcon Business Forms Inc., a manufacturer based in Corsicana, Texas. The acquisition included Falcon Short Run Express and Falcon Express Graphics, a commercial printing division, both located in Dallas. Sovereign also purchased American Stenrite Inc., a wholesale manufacturer and printer of labels in Somerville, N.J., and Charlotte, N.C.-based sister companies Worldwide Forms and Worldwide Plastics.
Standard Register, Dayton, Ohio, acquired UARCO, a privately held, wholly-owned subsidiary of Settsu Corp. of Osaka, Japan. The acquisition trimmed the number of national, direct-selling document management companies to four: Standard Register, Moore, Wallace Computer Services and Reynolds & Reynolds.
The Tab Shoppe, a manufacturer of custom index tabs in Fenton, Mo., acquired Precision Graphics, a custom tab manufacturer in Bloomsdale, Mo.
U.S. Office Products Company Inc., Washington, completed spin-offs of four subsidiaries, including its Print Management Division. That division, now known as Workflow Management Inc., Palm Beach, Fla., includes SFI; Data Business Forms Ltd., which includes Hano Document Printers and Multiple€Pakfold Business Forms; and United Envelope Co., which includes Huxley Envelope, Rex Envelope, Westshore Envelope and Astrid Envelope Co.
U.S. Technologies Inc., an outsourcing company in Marietta, Ga., signed a letter of intent to purchase Affordable Interior Systems Inc., a $20.5 million manufacturer of office furniture and a subsidiary of U.S. Office Products Company.
United Stationers Supply Co., a Des Plaines, Ill.-based subsidiary of United Stationers Inc., purchased the U.S. and Mexican assets of the Office Products Division of Abitibi-Consolidated Inc., a paper and newsprint manufacturer based in Montreal. The acquired business units included Azerty, Orchard Park, N.Y., a distributor of computer supply accessories; AP Support Services, a marketing and data management service company in Orchard Park; and Positive ID, a distributor of bar code scanning products in Willmar, Minn.
Vallis Form Service Inc., a manufacturer in Schiller Park, Ill., acquired Champion Business Forms, a manufacturer in Glendale Heights, Ill.
Wallace Computer Services Inc., Lisle, Ill., acquired Good Decal Co., a $10 million manufacturer of pressure sensitive decals, graphic overlays, panel graphics and large-format printing in Englewood, Colo. Wallace also merged some of its phone, fax, mail, EDI and Internet ordering capabilities with Boise Cascade Office Products Corp.
Xerox Corp., Rochester, N.Y., acquired Bradley Company, a Cleveland-based software supplier.
