Mergers and Acquisitions in 1994
This is a partial list of mergers and acquisitions that occurred in 1994. A (D) denotes a distributorship. All others are manufacturers or suppliers.
Alco Standard Corporation's subsidiary, The Unisource Corporation, acquired certain assets of Hopaco, the Hawaiian paper distribution arm of Boise Cascade. Alco acquired three office equipment distributors: Ken's Copiers and Fax Center of Victoria, Texas; Advanced Image Systems of Glendale, Calif.; and Hilton Head Copier Sales and Service Inc., Hilton Head, S.C. Alco also purchased Truax Systems Integration, a Phoenix, Ariz., distributor of RISO office equipment, and numerous other companies (see Industry News in the November, December and January issues).
American Business Products, a large manufacturer based in Atlanta, merged its International Envelope Company and American Fiber-Velope (AFV) divisions. ABP purchased International Envelope, a manufacturer of Tyvek envelopes and specialty products, in late 1993.
Bank and Business Forms (D) of Little Rock, Ark., acquired Quality Business Forms (D), also of Little Rock. Bank and Business Forms also purchased the office supply division of Business Equipment Center in Memphis, Tenn.; Paper Express (D) of Dallas; and the H.G. Fleming Co. (D) of Tulsa, Okla.
Califorms Printing, a San Jose, Calif., manufacturer, purchased Westmar Printing, a commercial printer in Santa Clara, Calif.
Continuous Forms and Checks Inc., a manufacturer in Peachtree City, Ga., purchased the assets of Perfection Forms Corp., Girard, Kan., now called Perfection Forms Corp., a division of Continuous Forms and Checks Inc.
Duplex Products Inc., a large manufacturer in Sycamore, Ill., acquired the assets of Statement Technologies Inc., an electronic printing and mailing company based in Sacramento, Calif. Duplex also sold its envelope manufacturing operation, Puerto Rico Envelopes Inc., Baymon, Puerto Rico, for an undisclosed price.
Eagle Forms & Systems (D) of Orange, Calif., merged with Forms Plus (D) of Baldwin Park, Calif. The new company will operate two divisions, one for advertising specialties and one selling printing and electronic forms.
Elite Impressions (D), Branchburg, N.J., merged with The MEGA Group (D), formerly M&E Graphics Associates Inc., Robbinsville, N.J.
International Paper acquired the Monsanto Company's Fome-Cor Board Business Group. The Fome-Cor product line is now part of IP's Uniwood Business Unit in Statesville, N.C.
James River Corporation, a Richmond, Va., paper company, purchased Rayne Holdings Inc.'s 43 percent indirect interest in Belgium-based Jamont N.V. Jamont manufactures tissue, hygiene and food service products in 12 European countries.
Kaye Smith Business Graphics, a direct selling manufacturer in Renton, Wash., acquired Data Print Inc. of Portland, Ore., one of the largest forms distributors in the Pacific Northwest. Kaye Smith produces ATM cards, continuous forms, labels and commercial printing. It also offers consecutive and static bar coding, variable imaging and U.V. coating. Other recent acquisitions allow Kaye Smith to offer mailing, data base management and fulfillment services.
Martin Yale Industries of Wabash, Ind., purchased the assets of Santee, Calif.,-based manufacturer Data Link Corp., including its Stamp E-Z automatic postage stamp applier and the Secretariat mailing station, which includes a stamp moistener and envelope opener. Martin Yale will manufacture the products under the brand name Premier®.
Mead Packaging, Atlanta, a division of Mead Corporation, acquired Industrias Bilbainas del Embalaje S.A. (IBE), a paperboard converter and carton manufacturer near Bilbao, Spain. Mead Packaging recently expanded operations in Mexico, Brazil, Argentina, Australia, New Zealand and Poland.
Modern Graphics Inc. (D), Plymouth Meeting, Pa., purchased Standard Business Forms & Systems Co. (D) of Collingdale, Pa.
Moore Corporation, Toronto, purchased 20 percent of the outstanding shares of JetForm Corporation, Waltham, Mass., for approximately $20 million. Moore has secured an option over five years to increase ownership to 51 percent at prices ranging from $15 to $20 per share.
Nashua Corporation's Graphic Products Division acquired certain assets of Paper Manufacturers Co.'s dry gum label and pharmaceutical heat seal label business. Nashua, headquartered in Merrimack, N.H., also markets carbonless papers, fax papers and a line of thermal coated paper.
Poser® of Fairhope, Ala., acquired Dealer Label of Terre Haute, Ind., a manufacturer of pressure sensitive labels and identification products, now called Poser Dealer Label. Poser Graphics & Specialties, a Dallas division of Poser, acquired B&D Manufacturing, a manufacturer of custom binders, index tabs and presentation folders. The acquisition will operate under the name Poser Binder & Index, Arlington, Texas.
Precept Business Products Inc., Dallas, a large distributor, purchased the assets of Collins Corporation (D) of Denver and Computer Supply Corp. (D) of Miami. The acquired companies will operate under the Precept name. Precept, no longer a subsidiary of Affiliated Computer Systems, is privately owned.
Professional Forms & Computer Supply (D) of Miami merged with E&P Printing Corporation, a commercial printer. The new company will operate under the E&P name.
Standard Forms Inc. (D), headquartered in Norfolk, Va., acquired Delaware Valley Business Forms Inc. (D), of Moorestown, N.J., and Conshohocken, Pa., and Compu-Forms Controls Inc. (D) of Paoli, Pa.
The Standard Register Company of Dayton, Ohio, acquired UARCO's Promotional Graphics Division in Eudora, Kan., which specializes in personalized direct mail products and services, promotional mailings for credit card solicitations, magazine renewals and sweepstakes entries. Standard Register teamed the acquisition with its COMMUNICOLOR® division. Standard Register also announced a joint venture with a forms manufacturer in Russia to create PolyForms, a St. Petersburg, Russia, business forms corporation.
Stellar Single-Scribe Systems of Silver Spring, Md., merged with Southeastern Pegboard Printers, Jacksonville, Fla. Stellar closed its Maryland facility and moved to Jacksonville.
Tranter Graphics of Syracuse, Ind., acquired Sportsline, a North Branford, Conn., decorator of sports and physical fitness accessories. Tranter offers paper, plastic, foam and textile products.
Teraco Inc., Midland, Texas, a promotional products manufacturer, purchased the assets of Sportfloat, a California producer of floating key tags for the boating industry.
U.S. Card Corporation of Tiffin, Ohio, acquired Premier Data Forms of Cincinnati, a manufacturer of paper computer cards, specialized cards and card sets. U.S. Card added Premier's products to its line of tab and ATM cards. U.S. Card also acquired National Computer Supplies, the card manufacturing division of Riccobon Business Forms, Santa Fe Springs, Calif.
Webcraft Technologies Inc., North Brunswick, N.J., is in the process of acquiring Dittler Brothers Inc., Atlanta, from Southam Inc., Toronto, for $35 million in cash. Webcraft manufactures fragrance samplers, commercial games, lottery tickets, promotional printing and direct mail products. Dittler is a manufacturer of commercial games, lottery tickets, directories and timetables.
Wilmer Service Line, an operating unit of Reynolds and Reynolds, signed an agreement with Transkrit Corporation of Roanoke, Va., to purchase most of the assets of Transkrit's pegboard and flat division.
Wright Business Forms Inc., Portland, Ore., acquired CBS Business Forms, a Portland manufacturer. Wright obtained the B-Laser and VSR divisions of CBS as part of the acquisition.
