Mergers and Acquisitions in 1993
Editors' note: The following is a partial list of mergers and acquisitions that occurred in 1993. A (D) denotes a distributorship. All others are manufacturing firms unless otherwise noted.
Sleepy Eye, Minn.-based Advertising Unlimited Inc., a wholly-owned subsidiary of R.L. Polk & Co., purchased the assets of Connecticut-based Sentry Pack Inc., a manufacturer of advertising specialties, including automotive, health and safety kits.
American Business Products Inc., Atlanta, purchased Discount Labels of New Albany, Ind. ABP acquired all the stock of the privately held Home Safety Equipment Co. Inc., dba Conway Enterprises or Discount Labels. Discount Labels will continue to operate under its own name as a subsidiary of ABP. Also, ABP acquired the assets and certain liabilities of International Envelope Company in Exton, Pa.
Bertek Inc., Fort Lee, N.J., merged with Pittsburgh-based Mylan Laboratories, a pharmaceutical company.
Capital Graphics Inc., a subsidiary of Household Commercial Financial Services Inc., Spring Grove, Ill., acquired the assets of Forms Corporation of America. The company's new name is FCA, a division of Capital Graphics Inc.
Champion Industries Inc., dba Chapman Printing Company, Huntington, W.Va., acquired several printing companies in 1993. It purchased Bourque Printing Inc. of Baton Rouge, La., as a wholly-owned subsidiary of Champion. Also, Champion signed an agreement to take over the assets of Howard D. Strother Inc., known as STROTHER FORMS/PRINTING of Baton Rouge, La. It acquired Dallas Printing Co. Inc., Jackson, Miss., as a wholly owned subsidiary and now owns Garrison Brewer Co., an office products business based in Marietta, Ohio. In addition, it acquired Carolina Cut Sheets in Timmonsville, S.C.
Commander Business Forms (D), Ventura, Calif., purchased Santa Barbara, Calif.-based Information Plus (D).
Continuous Forms and Checks Inc. (CFC), Peachtree City, Ga., acquired the customer base, repeat order files and negatives from Continuous Images, San Jose, Calif. Continuous Images ceased production in July. In addition, CFC acquired the files, relevant artwork, distributor list, pack inventory and repeat orders of Paris Business Forms' Short Run Division, Burlington, N.J. CFC's Hatboro, Pa., plant will handle the new business.
Data Print (D), Wilsonville, Ore., purchased Custom Forms Co. (D), Beaverton, Ore., and the customer list of PacWest Information Systems of Hillsboro, Ore.
Deluxe Corp., St. Paul, Minn., signed an agreement to purchase all of the capital stock of Paper Direct of Lyndhurst, N.J., a direct marketer of specialty papers and related products for copiers and desktop publishing.
Diversified Tape & Graphics, Wheeling, Ill., merged with I.D. Label and Systems, Lombard, Ill.
Eastman Kodak Company, Rochester, N.Y., sold its Dayton, Ohio, continuous ink jet business to Scitex Corporation Ltd. of Herzlia, Israel.
Georgia-Pacific Corp., Atlanta, sold Butler Paper Co., a paper merchant, to Alco Std. Corp., a company that owns paper merchants nationwide.
Gilman Paper Company, St. Mary's, Ga., acquired J.D. Sky Corp., Greencastle, Pa. The company, based in Greencastle, is known as the Gilman/Sky Company.
Austin, Texas-based Hart Forms & Services Inc. (D), a subsidiary of Hart Graphics Inc., acquired Insuranceware Corporation, a software developer based in Bargersville, Ind.
Hippographics, a printing and typography conglomerate, formed CR Waldman Graphic Communications. The firm was created when Composing Room Inc., a typesetting company owned by Hippographics, purchased certain assets of Waldman Graphics, Pennsauken, N.J., and the two merged.
Independent Business Products (D), Hayward, Calif., joined forces with Word Products in Mountain View, Calif. (D).
KECA Corporation, a subsidiary of Williamhouse-Regency of Delaware Inc., agreed to acquire the principal assets of Kimberly-Clark's Karolton Envelope, a full-line envelope converter based in Miamisburg, Ohio, with a plant in West Sacramento, Calif.
Label Art Inc., Wilton, N.H., acquired Short Run Labels of San Carlos, Calif., and Linthicum, Md. Short Run Labels will retain its name.
Miami Systems, Cincinnati, Ohio, acquired Atlanta-based Stevens Graphics' Business Products Division, formerly owned by BellSouth Corp. The new company name is Print South. BellSouth retained Stevens Graphics' Directory Division, also in Atlanta.
Poser Business Forms Inc., Fairhope, Ala., acquired Terre Haute, Ind.-based Dealer Label. In addition, it acquired JLS Printing and Graphic Services Inc., a commercial printing operation in Dallas.
ProForma (D), Cleveland, Ohio, a printed business products franchise, joined forces with Fred DeLuca, founder of Subway Sandwiches, a fast food franchise based in Milford, Conn. The joint venture establishes a 50-50 partnership that will do business as ProForma.
The Reynolds and Reynolds Company, Dayton, Ohio, concluded an asset purchase of Woodbury Business Systems, Atlanta, including Woodbury's Haines City, Fla., distribution facility.
Semi-Tech, Garland, Texas, a manufacturer of die cut and laminate substrates for the optical industry, acquired Econ-O-Cloth, a manufacturer of similar products in Lansing, Ill.
Shade Computer Forms Co., Green Bay, Wis., and Dayton, Ohio-based SCM Allied Paper Inc. merged to form Shade/Allied Inc., headquartered in Green Bay.
Specialty Business Forms Inc. (D), Kalamazoo, Mich., purchased Custom Forms Management (D), also in Kalamazoo.
Standard Forms Inc. (D), Norfolk, Va., acquired Horizon Business Forms (D), Marlton, N.J. Also, Thomas D'Agostino, chairman of Standard Forms, bought Springfield, Mass.-based Hano Business Forms, including its three manufacturing plants and five sales offices, with a minority investor. The company will continue to operate under the Hano name.
Stellar Singl-Scribe Systems, Silver Spring, Md., merged with Southeastern Pegboard Printers, Jacksonville, Fla. Stellar's Maryland plant was shut down and Singl-Scribe's products are now produced in Jacksonville.
Stewart Business Forms, Blackwood, N.J., acquired Pennsauken, N.J.-based Major Forms.
SunCoast Forms & Systems Inc. (D), Sarasota, Fla., acquired Mark V Business Forms Inc., Sarasota, Fla.
Tax Forms Printing, Camarillo, Calif., purchased OCR Data Systems, which will operate independently as a division of Tax Forms Printing out of Lewisberry, Pa. The purchase does not include the Artina line of software-compatible forms, which former OCR president Art Shapiro will continue to own and operate as The Artina Group out of the former OCR premises in Elmsford, N.Y.
Carbon paper firms Technicarbon Company L.P., Conyers, Ga., and Frye Copysystems Inc., Chamblee, Ga., announced plans to merge their operations. The company name will be Fryetech.
Teraco Inc., Midland, Texas, a manufacturer of promotional products, acquired the assets of Sportfloat, a California manufacturer of floating key tags for the boating industry.
The Bedinghaus division of Transkrit, located in Cincinnati, sold its non-mailer custom business to Quick Tech Business Forms, Springboro, Ohio.
Tully-Wihr Company (D), headquartered in Union City, Calif., acquired Bay Business Forms (D), Albany, Calif. Tully-Wihr will lease Bay's Albany office and warehouse and a facility in Fresno. Eventually, Tully-Wihr will move part of its operations to those locations.
United Image Group, Eugene, Ore., a group of manufacturing facilities, took over Five Star Forms & Printing, Sparks, Nev.
Wallace Computer Services, Hillside, Ill., acquired technologies used by First Electronic Forms (FEF) in Irvine, Calif. The former FEF sales and design service center was renamed Ikon Electronic Forms Inc. Ikon will act as one of three of Wallace's licensed design centers in North America.
