Cenveo Concludes Review <http://www.cenveo.com> Cenveo™ Inc.
announced that after reviewing its strategic alternatives, including expressions
of interest from potential transaction partners, its board has concluded that
the best alternative for the company is to follow its already-implemented
strategic plan of initiatives to reduce operating expenses, streamline
management functions and increase top-line revenue growth.
"In reaching this conclusion, the board noted that the company has made
significant progress on its strategic plan in a short amount of time,
particularly in reducing operating costs," a press release said. "The board also
noted that it considered expressions of interest for the company as a whole and
for its various businesses from potential transaction partners of up to but not
exceeding nine dollars per share."
On Aug. 11, James R. Malone, president and CEO of Cenveo, <http://www.cenveo.com/IR/Releases/05Releases/081105Letter.asp>
sent a letter to Cenveo stockholders urging their support at the Sept. 14
special meeting.
Earlier, <http://www.burtonmg.com> Burton Capital
Management LLC (BCM) and Goodwood Inc. announced that they have filed a
definitive proxy statement and a white proxy card for use at the special
meeting. The purpose of the meeting is to replace Cenveo's existing directors.
Cenveo, which owns PrintXcel, Discount Labels, Lancer Label, DealerLabel™ and
Wisco Envelope, said that it didn't approve of BCM's nominees for the special
meeting. On June 10, Cenveo received a letter from BCM, Goodwood and others,
calling for the special meeting. In May, Cenveo rejected a BCM proposal that
would have resulted in the appointment of Burton as the firm's chairman and
CEO.
