NEWS

Burton, Goodwood File Proxy Statement
<http://www.burtonmg.com> Burton Capital Management LLC (BCM)and Goodwood Inc. announced that they have filed a definitive proxy statement and a white proxy card for use at the Sept. 14 special meeting of <http://www.cenveo.com> Cenveo Inc. shareholders. The purpose of the meeting is to replace Cenveo’s existing directors.

The nominees proposed for election as Cenveo directors are: Robert G. Burton Sr., Patrice M. Daniels, Leonard C. Green, Mark J. Griffin, Michael W. Harris, Thomas W. Oliva and Robert T. Kittel. An Aug. 10 <http://www.burtonmg.com/news/081005.asp> BCM press release said, "BCM and Goodwood believe that, over the past several years, Cenveo's board of directors has failed to make the decisions necessary to improve Cenveo's performance and enhance shareholder value. Between January 1, 2000 and April 7, 2005 (the date our ownership of Cenveo's common stock was publicly disclosed), a period of over five years, an investment in Cenveo's shares lost approximately 53% of its value. BCM and Goodwood believe this is completely unacceptable."

Earlier, Cenveo, which owns <http://www.printxcel.com/> PrintXcel, <http://discountlabels.com/> Discount Labels, <http://www.lancerlabel.com/> Lancer Label, <http://www.dealerlabel.com/> DealerLabel™ and <http://www.wiscoenv.com/> Wisco Envelope, said that it didn't approve of BCM’s nominees for the special meeting. On June 10, Cenveo, Englewood, Colo., received a letter from BCM, Goodwood and others, calling for the special meeting. In May, Cenveo rejected a BCM proposal that would have resulted in the appointment of Burton as the firm's chairman and CEO.

SOLUTION OF THE WEEK

A Gem of a Card

Chip Grayson keeps note pads next to every chair in his house--even on a bench outside his shower. When a creative business idea pops into his head, he can jot it down no matter where he is. "The paper is my memory bank," says Grayson, president of SBF Inc., a distributorship in Savannah, Ga. Several years ago, one of those slips of paper held an idea for a custom-shaped loyalty card: a plastic card shaped liked a cut diamond for Friedman's jewelers. Grayson pitched the idea to Friedman's, suggesting the jeweler give the cards to top customers at its 660-plus stores. <http://www.dmia.org/sol_center/enewsletter/enews_articles/sow081205.html> Full story.
