Burton, Goodwood File Proxy Statement
Burton Capital Management LLC (BCM) and Goodwood Inc. announced that they have filed a definitive proxy statement and a white proxy card for use at the Sept. 14 special meeting of Cenveo Inc. shareholders. The purpose of the meeting is to replace Cenveo’s existing directors.
The nominees proposed for election as Cenveo directors are: Robert G. Burton Sr., Patrice M. Daniels, Leonard C. Green, Mark J. Griffin, Michael W. Harris, Thomas W. Oliva and Robert T. Kittel. An Aug. 10 BCM press release said, “BCM and Goodwood believe that, over the past several years, Cenveo's board of directors has failed to make the decisions necessary to improve Cenveo's performance and enhance shareholder value. Between January 1, 2000 and April 7, 2005 (the date our ownership of Cenveo's common stock was publicly disclosed), a period of over five years, an investment in Cenveo's shares lost approximately 53% of its value. BCM and Goodwood believe this is completely unacceptable.”
Earlier, Cenveo, which owns PrintXcel, Discount Labels, Lancer Label, DealerLabel and Wisco Envelope, said that it didn't approve of BCM’s nominees for the special meeting. On June 10, Cenveo, Englewood, Colo., received a letter from BCM, Goodwood and others, calling for the special meeting. In May, Cenveo rejected a BCM proposal that would have resulted in the appointment of Burton as the firm's chairman and CEO.

Boise Plans $60M Investment to Support Pressure Sensitive Market
Boise Paper said that it's proceeding with investments following the completion of its strategic review announced in May. Boise is proceeding with commitments estimated to $60 million that will provide incremental pressure sensitive capacity of more than 200,000 tons. The company also determined that the reconfiguration of the existing 250" #3 paper machine in Wallula, Wash., is the best way of expanding pressure sensitive production to meet growing customer demand. This project will transition existing commodity production capacity to specialty paper production.
Drent Goebel Acquires Majority Shareholding in RDP Marathon
Drent Goebel acquired RDP Marathon, which has a large market share in the commercial printing market for long runs. RDP builds the V-series blanket-to-steel and the P-series blanket-to-blanket machines for this market. Drent Goebel said that after the success of its variable sleeve offset printing press in the North American market, the acquisition was logical and necessary. Full story.

Cooley Group Celebrates 60th Anniversary
The Cooley Group is celebrating its 60th anniversary this year. The company's five locations organized open houses to express their gratitude to customers. The company also is planning for its employees an outing to the Woodcliff Resort Rochester, N.Y. Ranked 37th on Print Solutions’ Top 100 Distributors list for 2005, three past presidents of the DMIA (formerly National Business Forms Association) came from the Cooley Group: C.E. "Scoop" Cooley (1953-54), Robert E. Eberhardt (1961-62) and Patrick R. Gaffney (1970-71).
Auditor: AB&C Group Has Proper Internal Controls
The AB&C Group announced that it has comprehensive and effective policies and procedures to secure clients' and corporate data in its systems and facilities. The company also has clearly communicated security policies to employees, according to a report recently released by an independent auditor. The AB&C Group engaged Cherry, Bekaert & Holland LLP to conduct an in-depth examination of its internal control processes.

Harland Reports Consolidated Results
John H. Harland Company filed its quarterly report with the Securities and Exchange Commission. Net income in the second quarter of 2005 was $18.8 million compared to $8.9 million in the second quarter of 2004. Consolidated sales increased $71.6 million for the 6-month period ended July 1, 2005 from $383.6 million for the 6-month period ended June 25, 2004.
R.R. Donnelley to Acquire Polish Printer
R.R. Donnelley & Sons Company announced a tender offer for 100 percent of the approximately 5.3 million outstanding ordinary shares of Poligrafia S.A., a public company listed on the Warsaw Stock Exchange. In connection with the tender offer, R.R. Donnelley signed a definitive agreement to acquire approximately 56.2 percent of the outstanding Poligrafia shares from Baring CEF Investments IV Limited.
Geswein Named Reynolds and Reynolds CFO
The Reynolds and Reynolds Company announced that Gregory T. Geswein is joining the company as senior vice president and CFO. He replaces former CFO Dale L. Medford, who retired on June 1. Geswein comes from Diebold Inc.

"The paper is my memory bank," says Grayson, president of SBF Inc., a distributorship in Savannah, Ga.
