Burton Capital Management Increases Ownership of <http://www.cenveo.com>
Cenveo Burton Capital Management LLC, Greenwich, Conn., and other
members of its group filed this week an amendment to its <http://www.burtonmg.com/news/040705.asp>
Schedule 13D with the <http://www.sec.gov> US Securities and Exchange
Commission. These filings reflect the group's increased ownership of Englewood,
Colo.-based Cenveo™ Inc., from 9.6 percent to approximately 10.8 percent of the
outstanding common stock, according to the <http://www.burtonmg.com> company's web
site (at press time).
The move comes after Cenveo's board of directors last week responded to a
letter from Burton Capital Management, a stockholder in Cenveo. <http://www.burtonmg.com/news/040705_letter.asp>
In the letter, Robert G. Burton Sr., chairman, CEO and managing member of Burton
Capital Management, said, "We are very concerned about the current state of
Cenveo, and believe that significant changes are required to put the Company on
the right track in order to create shareholder value." <http://www.cenveo.com/media/05Releases/040805Burton.pdf>
In its response, Cenveo's board said, "While we disagree with virtually all of
the assertions made in your letter, we agree that the stock of Cenveo has been
significantly undervalued by the market at large." Burton was the
chairman, president and CEO of Moore Corporation Limited through December 2002.
According to the company web site, Burton generated an annual internal rate of
return of 139 percent during his tenure at Moore. Previously, he was Chairman,
President and CEO of World Color Press Inc., where he led its merger with
Quebecor Printing Inc.
