SALES AGREEMENT

COMPANY NAME, an Ohio Corporation, with its principal place of business located in ____________, Ohio, herein called the "company", hereby employs ___________________ as its sales representative and in consideration of his/her employment and the compensation to be paid to said sales representative the parties agree an follows:

  1. The sales representative shall be paid compensation in accordance with the sales representative's compensation program presently in effect by the company, a copy of which has been delivered to said sales representative which compensation may be changed from time to time at the sole discretion of the company.

  2. The sales representative will from time to time be given directions as to his/her conduct and sales effort to be made including the possible assignment of specific products to be sold by his/her as well as designation of certain accounts to be sold by his/her in the area within which he/she is to confine his/her sales efforts and the sales representative agrees to confine his/her activities and conduct himself/herself in accordance with the direction of the company. The sales representative agrees to use his/her best efforts as a sales representative and perform his/her duties in good faith on behalf of the company and to devote all his/her business time for the exclusive purpose of selling the company's products.

  3. The company from time to time issues terms and instructions to the sales representatives of the company and designated company policies, procedures and responsibilities of the sales representatives all of which by this reference are hereby incorporated and made a part of this agreement as well as any future published terms, instructions or company policies that may be issued by the company in the future and the sales representative and the company hereby agree to conform to and be bound by them.

  4. The sales representative agrees that should he/she have any objection to the amount of compensation paid to him/her by the company or may object to the company's accounting of sales made by said sales representative he/she shall submit written notice thereof within 30 days of receipt of his/her compensation or the company's accounting of sales, and should he/she fail to make such written objection such objection is specifically waived by his/her.

  5. The employment of the sales representative by the company may be terminated for any reason by either of the parties hereto by either oral notice or written notice by registered or certified mail to the last known address of the other. Any or all books, records, customer lists, sales brochures, and other sales material and any and all other information concerning the business of the company either furnished to the sales representative by the company or compiled by the sales representative during the course of his/her employment shall upon termination of his/her employment for any reason be delivered to the company by the sales representative an the date of his/her termination of his/her employment. It is understood by the parties hereto that the company shall from time to time disclose to the sales representative confidential information such as customer lists, training and sales information and knowledge technical assistance and knowledge in the handling of sales and the manufacture of the products by the company which are sold by the sales representative and the general assistance by the company to the good will of the company with respect thereto, and all of the same shall belong to and be the sole property of the company. The company does further have similar covenants and agreements with other sales representatives employed by it. In consideration of the foregoing, therefore, the sales representative agrees with the company and with such other sales representatives as follows:

    1. The sales representative shall not disclose any information concerning the company, its policies, methods, products, customers or business save in furtherance of the company's business and at its direction.

    2. The sales representative for a period of one (1) year after termination of employment with the company for whatever reason, will not as a sole proprietor member of a partnership, employee, officer or agent of a corporation sell either directly or indirectly the same or similar products sold by the company nor will the sales representative sell to any of the company's accounts of such same or similar products within the area of fifty (50) miles of ___________ County, Ohio.

  6. Should the sales representative violate any of the terms and conditions of paragraphs 5 (a) or 5 (b) the company shall have the right to institute suit to enjoin the continued violation of the same and to collect any damages that may result therefrom. The remedies of the company's other sales representatives for violation of the aforementioned paragraphs 5 (a) or 5 (b) shall be in addition to the remedies of the company.

I release all parties from all liability for any damage that may result from furnishing this information to you. This release extends to all pertinent information, personal or otherwise.

I further agree to take any lawful medical or lie detector examination required by the Company as a condition of my being hired, or, if I am hired as a condition of my continued employment. I agree that my refusal to take any such lawful examination may be cause for my not being hired or, if I am hired, may be cause for the termination of my employment; and I hereby release all persons or companies conducting such examinations from any liability.

I certify that the facts contained in this Application are true and complete to the best of my knowledge and understand that if I am employed, any statements I have falsified on this Application shall be grounds for dismissal.
