FORMS AUTOMATION AGREEMENT
DISTRIBUTOR COMPANY
This Forms Automation Agreement ("Agreement") is made and entered into on this _______day of _____________, 2000, between Distributor Company ("Distributor"), a (state) Corporation, and End User Client.
A. End User Client is a credit union that provides deposit and lending-related services to members.
B. End User Client and Distributor desire that Distributor duplicate End User Client's loan form(s) incorporated herein by reference ("Documents"), for use in connection with End User Client's lending programs.
NOW THEREFORE, Distributor and End User Client agree as follows:
1. Distributor will use commercially reasonable efforts to duplicate the Documents in both typed and diskette format for use by End User Client in connection with its lending programs.
2. End User Client shall compensate Distributor for the duplication of Documents as described in the ELECTRONIC FORMS PROPOSAL, attached hereto and incorporated herein by reference.
3. End User Client agrees to notify Distributor in writing, of any requested corrections to the Documents within thirty (30) days of the date the Documents are delivered to End User Client. Any requests for changes or corrections that are made after thirty (30) days from the date the documents are submitted to End User Client, shall be invoiced at Distributor's then prevailing rates.
4. End User Client warrants and represents that End User Client owns the rights to or has written authorization to use the Documents and to permit Distributor to duplicate the Documents as described in Paragraph 1 herein.
5. Distributor assumes no responsibility or liability of any kind resulting from the duplication or subsequent use of the Documents, including without limitation, any liability for copyright infringement or failure of the Documents to comply with applicable State or Federal regulations.
6. Except as set forth herein, the Agreement remains in full force and effect.
IN WITNESS WHEREOF, Distributor and End User Client have executed this agreement by their duly authorized representatives as of the date set forth below.
