NON-COMPETE AGREEMENT
MANUFACTURER, hereinafter referred to as MANUFACTURER, and it's representatives agree to protect any and all accounts of DISTRIBUTOR, Inc., hereinafter referred to as DISTRIBUTOR, that have been introduced to MANUFACTURER and its representatives as a customer or key / target account of DISTRIBUTOR in the form of a plant tour, estimates and/or orders placed through MANUFACTURER. It is understood that MANUFACTURER has a direct sales force and cross over accounts may occur from time to time.
Should a representative of MANUFACTURER call on or solicit business from a known DISTRIBUTOR account, that representative will cease and desist such contact immediately. The same will hold true for any representative of DISTRIBUTOR that calls on or solicits any active account of MANUFACTURER or their representatives.
To further state, MANUFACTURER and its representatives will not:
Make known to any person, firm or corporation, the names or addresses of any of the customers of DISTRIBUTOR or any other information pertaining to them, or
Call on, solicit, take away, or attempt to call on, solicit or take away any of the customers of DISTRIBUTOR that have been made known to MANUFACTURER through active orders, job estimates or proposals, plant tours or meetings held between the companies involved.
Having read the agreement above and understanding the contents of the same, please have a senior officer of your company execute the document in the area provided below.
