We are writing to you to record arrangements between us for the supply of printing related services to certain of our customers.
As you know, (distributors name) is currently the exclusive distributor of all printing and related services to (end client). In that capacity we resell or distribute various printing products of the type produced by (Direct Selling Company) as well as providing a range of other print services to (end client).
We are prepared to introduce (Direct Selling Company) to appropriate personnel at (end client) and to generally facilitate (Direct Selling Company) entering into an arrangement with (distributors name) for the purpose of (distributors name) supplying directly to (end client) laser imaging and mailing services (which I refer to as the "Direct Services").
In return for us making this introduction and facilitating these arrangements in respect of Direct Services we wish to be appointed as (Direct Selling Company's) exclusive distributor in respect of all other printing and related products and services ("Other Work") to (end client). In undertaking this Other Work for (Direct Selling Company) we will act as a distributor or reseller of your products (as well as selling our own products and services to (end client). (Direct Selling Company) will not seek to undertake any of this Other Work for (end client). If you are asked at any stage to perform Other Work for (end client) you will refer that work to us. Conversely, we will refer any requests we receive from (end client) for Direct Services to you.
We believe that this arrangement will be mutually beneficial to (Direct Selling Company), (distributors name) and (end client) and that it will lead to efficiencies in allocation of resources between us.
